Terms of use
General
The terms and conditions set out in this Terms of Use, including Customer Dos and Don’ts, SPAC Interior Quality Promise, Cancellation Policy, Return, Exchange & Refund Policy, Payment Policy and Privacy Policy govern the access to and use of this website www.spacinterior.in

The Terms govern all users of the Platform and Please read these Terms carefully before registering with SPAC Interior or accessing any materials, information, purchasing products or availing services on the Platform. If you are not agreeable to any terms or Privacy Policy, you should not proceed to use this Platform and underlined services.

Eligibility to use
Users must be at least 18 years old and able to enter into legally binding contracts to access and use the Services and/or register with SPAC Interior to use the Services. By accessing or using the Platform and/or Services, Users represent and warrant that they are 18 or older and have the legal capacity and authority to enter into a contract. If you represent any other person, natural or artificial, you confirm that you have the requisite authority and power to bind such person to these Terms.

Our service
1.) We provide one stop End to end solution for home interior and commercial interior design services and shall provide services in relation to the execution of the finalised design on a turn-key basis and in relation to purchase of products and services from Third Party Service Providers.

2.) The Customer shall pay the Company immediately upon any payments becoming due in accordance with the Payment Terms. The Company shall provide and shall ensure that all Third Party Vendors or Service Providers (if any) also provide warranty/defect liability period on the civil work and woodwork related items. To the extent where the products or services are provided by Third Party Vendors and Service Providers.

3.) SPAC is not responsible for setting or controlling the prices displayed on the Platform or offered by such Third Party Vendors and Service Providers.Third Party Vendors and Service Providers are responsible for their products or services offered or supplied to Users.

4.) The Terms of use shall be subject to our payment, cancellation, refund & returns and warranty policies. Please read them carefully before availing any services on the Platform.

Unauthorised Transactions
You shall not directly or indirectly, in any capacity, solicit, engage, approach or encourage the solicitation or approach of a Third Party Vendor or Service Provider, including Channel partner to provide direct services to You or avail same or similar services provided on SPAC Platform, independently without booking through your Account of SPAC Platform. Any transactions and/or payment between You and Third Party Service Providers without booking through SPAC Platform shall be deemed as “Unauthorised Transactions” and SPAC shall have no liability for such Unauthorised Transactions. You agree and acknowledge that this is a reasonable restriction for the protection of your property and the Third Party privacy of Service Providers. You further agree that you will be solely responsible for any potential harm, damage or loss from the violation of this clause without any claim on SPAC Interior.

Updates, Modifications and Availability
SPAC may modify or upgrade the features and functionality of the Platform and/or Services from time to time, and reserve the right to make upgrades, updates, modifications and changes as it deems fit. Users understand that such upgrades or changes may result in interruption, modification, failure, delay or discontinuation of the Platform and/or Services or any function or feature thereof. In this regard, Users acknowledge and agree that SPAC assumes no liability, responsibility or obligation for any such interruption, modification, failure, delay or discontinuation associated with the Platform and/or Services.

Third party resources
SPAC may contain links to third party’s websites, products, services, information, advertisement or other materials (“Third Party Resources”) that are not owned or controlled by SPAC, or the Services may be accessible through Third Party Resources. Links to Third Party Resources do not constitute an endorsement or recommendation by SPAC of such Third Party Resources. When Users access Third Party Resources, Users do so at their own risk. Users hereby represent and warrant that they have read and agree to be bound by all applicable policies of any Third Party Resources relating to the use of their services and act in accordance with those policies, in addition to Users’ obligations under the Terms. Users also acknowledge and agree that SPAC has no control over, and assumes no responsibility or liability for, the content, accuracy, privacy policies, or practices of or opinions expressed in any Third Party Resources. In addition, SPAC will not and cannot monitor, verify, censor or edit the content of any Third Party Resources. Users expressly relieve and hold harmless SPAC from any and all liability arising from the use of any Third Party Resources.

Term, Violation, Suspension and Termination
The agreement between SPAC Interior and each User under the Terms shall take effect upon the earlier of (i) the User’s commencement of the use of the Platform and/or Services, or (ii) registration of an Account, or (iii) execution of a written agreement with SPAC Interior in respect of the use of the Services, and will remain in full force and effect for as long as relevant User continue to use the Platform and/or Services. The terms will continue to apply until terminated by either you or SPAC Interior. If you object to the Terms or are dissatisfied with the Platform or Services, your only recourse is to close your Account on the Platform and/or stop accessing or using the Platform or Services.

2. How is SPAC Interior different from traditional contractors or independent designers?
Working with contractors or individual designers often requires you to handle material selection, manage workers, coordinate multiple vendors, and spend countless hours on execution. SPAC Interior simplifies this chaos by being a one-stop solution that provides professional designers, carefully sourced products, skilled service partners, and structured project management—all under one umbrella.


3. Which cities does SPAC Interior currently serve?
SPAC Interior currently operates across more than 20 cities in India, depending on the services available in each location.


4. What kind of spaces does SPAC Interior work on?
Whether it’s a compact apartment, a sprawling villa, or a commercial property, SPAC Interior provides complete interior solutions customized to fit the size, purpose, and style of your space.


5. What does "full home design" mean at SPAC Interior?
Full home design means transforming every corner of your home—be it the kitchen, bedrooms, dining area, or living room. It covers modular fittings, furniture, décor elements, and execution services, giving you a complete and cohesive interior experience.


6. Can I get only a part of my home designed?
Absolutely! SPAC Interior can design specific spaces such as your kitchen, bedroom, or living area. However, the project must meet a minimum value of 1 lakh. For clarity, we recommend scheduling a consultation with our experts who will provide tailored advice for your requirements.


7. I live abroad but own a property in India. Can SPAC Interior design my home?
Yes! Our designers are equipped to collaborate online through video calls, chat, and emails. With our exclusive digital tools, you can track progress and make approvals remotely, ensuring your home is designed perfectly no matter where you live.


8. Who will be working on my SPAC Interior project?
Your project will be handled by SPAC Interior’s network of experienced designers and service partners. Once you sign up, a dedicated designer will be assigned as your single point of contact who will guide you from concept to final execution.


9. What kind of designers are part of SPAC Interior?
SPAC Interior collaborates with highly skilled and carefully vetted interior designers who specialize in creating functional, stylish, and personalized designs that reflect your personality and lifestyle.


10. Can I select or change my designer during the project?

Designing with SPAC Interior
Designing my dream home

1. What should I prepare before starting my SPAC Interior project?
Bring your floor plan, any inspirations, and an idea of your budget. Sharing your lifestyle and preferences helps our designers craft a plan that reflects your personality. We accept projects with a minimum value of 1 lakh.


2. What happens during my design consultation?
You’ll connect with a SPAC Interior designer—either in person at our studio or virtually. Together, you’ll explore your requirements, style goals, and budget. Afterward, the designer will share a tailored concept and cost estimate.


3. What does a design proposal include?
A proposal features moodboards, sample layouts, color palettes, and design references. It also comes with a tentative quotation covering furniture, décor, and services.


4. What is a quotation or BOQ?
It’s a detailed bill of quantities (BOQ) listing every product, service, and cost associated with your project, giving you clear financial transparency.


5. Where does SPAC Interior source furniture and products from?
We provide access to a curated catalog with thousands of options—from sofas and wardrobes to kitchens and lighting. Our range includes SPAC Interior products and trusted partner brands, both Indian and international.


6. How many design changes can I request?
You’re free to request revisions, though we suggest limiting them to three or four rounds to maintain project timelines.


7. Can I see samples before finalizing?
Yes! You can explore finishes, furniture, and material samples at our studio or through digital previews, ensuring you’re confident before confirming.


8. What if a product in my quotation is unavailable?
No worries! Our designers will guide you in selecting an equally stylish alternative from our wide catalog, so your vision isn’t compromised.


Managing my home project

1. Who will manage my project?
At SPAC Interior, your assigned designer will be your single point of contact and will manage the project from concept to completion.


2. Do I need to manage service partners?
No. Your designer coordinates directly with SPAC Interior’s service partners, so you don’t have to manage execution or site work yourself.


3. How will I receive updates?
You’ll get regular updates via email, calls, and site visits. A detailed project timeline will also be shared for full transparency.


4. Do I need to visit the site frequently?
Not required. Your designer will handle site checks and schedule visits with you only when necessary.


5. Who supervises daily site work?
Day-to-day supervision is handled by SPAC Interior’s service partners and their skilled team on-site.


6. Can I stay in my home during renovation?
It depends on the scope of work. Please consult your designer to decide if staying at home is feasible during renovation.


7. What if my project takes longer than expected?
Delays can happen due to design revisions or external factors. Discuss with your designer for clarity and updated timelines.


8. Who should I contact for concerns?
For any issue, first connect with your SPAC Interior designer. If unresolved, escalate to the Project Manager, then to the General Manager. You can also reach our customer care team at info@domain.


Delivery and installation

1. Who will install my home interiors?
Installation is handled by SPAC Interior’s verified service partners—skilled professionals carefully selected for quality, reliability, and expertise. Modular products are built at our facilities or by partner brands, then delivered and installed on-site.


2. Who are service partners?
They are trusted contractors and professionals from your city who have passed SPAC Interior’s strict screening process to ensure premium workmanship and timely delivery.


3. How does SPAC Interior evaluate service partners?
We use 30+ parameters such as pricing, skill, punctuality, site safety, and labor management. Regular audits guarantee only top performers remain on our panel.


4. When do I get assigned a service partner?
After your designs are finalized, your designer sources quotations from vetted service partners and, with your inputs, assigns the best fit for your project.


5. Can I choose my service partner?
While our system shortlists the best match based on budget, timeline, and ratings, you can request involvement in the selection. Your designer will guide you through the options.


6. How many quotations will I receive?
Generally, 2–4 quotations are sufficient as all partners are pre-vetted. More quotes can be arranged if needed, but this may extend timelines.


7. What if the shared quotes exceed my budget?
No problem—your designer can invite more partners to quote within your budget range until a suitable option is found.


8. Can I bring my own contractor?
No, we work only with SPAC Interior-approved partners to maintain quality control. But rest assured, we collaborate with hundreds of verified partners in every city we serve.


9. Will one service partner cover all my requirements?
Partners are chosen to handle your full project scope. For highly specialized needs (e.g., home automation), an additional expert partner may be added.


10. How long does delivery and installation take?
Once orders are placed and the site is ready, modular products like kitchens and wardrobes are delivered and installed within 45 days. If the site isn’t ready, items can be stored for up to 7 days free of charge; beyond that, storage fees apply.


Paying for my home interiors

1. How much would the entire design service for my home project cost?
After your free initial consultation, we'll provide a design proposal with estimated costs. The final quotation will be adjusted based on your actual design choices and material selections.


2. Do you charge for site visits?
Site visits are complimentary but limited in number. Your designer can provide specific details about visit allowances for your project.


3. What is covered under the final project cost?
Our comprehensive pricing includes all furniture, products, design fees, management charges, service fees, delivery, installation, and applicable taxes.


4. What is the design & management fee?
This fee, up to 15% of your project value, covers your designer's time and expertise in creating your space and managing the project from start to finish.


5. Why might the final quotation differ from the initial estimate?
The initial quotation is a ballpark figure. As you select specific designs, materials, and products, the final cost may be adjusted higher or lower based on your choices.


6. Does product pricing change over time?
Yes, product prices may vary. Your quotation includes an expiry date, and prices are guaranteed only during this validity period.


7. Why don't you charge based on square footage?
We believe in transparent pricing based on your selections, not home size. A smaller space with premium finishes may cost more than a larger space with basic designs.


8. Do I pay designers and service partners directly?
No. All payments should be made directly to us for proper tracking and security. You won't need to make separate payments to any team members.


9. Is there an additional charge for insurance coverage?
No. We provide complimentary insurance coverage against damages up to ₹10 lacs or your project value, whichever is lower.


Payment & EMI option
Online payments
Every quotation shared with you will include an online payment link. The payment is processed through a secure PayU gateway and you can use it pay through all major credit cards, debit cards, UPI, and wallets.

If you prefer a bank/wire transfer, contact your designer for payment details.

Offline payments
To opt for this method, speak to your designer. All cheques or drafts must be in the favour of Livspace India Private Limited (formerly known as Home Interior Designs E-Commerce Private Limited)

Transaction security guarantee
SPAC Interior values your financial privacy and ensures complete security of all online transactions. Payments are processed through trusted, PCI-compliant gateways with advanced encryption, so your information remains fully protected. With globally recognized security standards in place, you can transact with SPAC Interior with confidence and peace of mind.

Transaction failures
In case of a failed online transaction, no amount will be deducted from your account or card. Please ensure you have a stable internet connection and that all payment details are entered correctly, as these are common reasons for failure.

Payment terms for a SPAC Interior project
Project & Orders :- A project refers to the complete home design for a single property. Within a project, multiple orders may be placed (e.g., one for modular furniture and another for services like civil work). Payments are processed order by order.

Booking with SPAC Interior :- You can start your project by paying a booking fee of 5% of the final quotation or ₹25,000 (whichever is higher). This fee will be adjusted against your future orders. If your project scope expands significantly, an additional 5% for the new scope may be required before design work begins.

Payment terms for an order
Payment Terms:
Once your booking fee has been adjusted against an order, all subsequent orders will require 60% payment upfront.

Terms & Conditions:
- Delayed payments at any stage may lead to project delays. SPAC Interior will not be liable for such delays.
- In case of project cancellation after 60% payment, no refund will be issued in cash or credits.

Easy facility
EMI Facility :
The EMI option is offered directly by eligible banks or financial partners at their sole discretion. Each partner may have different eligibility criteria and thresholds, which will be clearly communicated by the respective bank or financing partner.

Role Of SPAC Interior
SPAC Interior does not provide EMIs directly. We only act as a facilitator between you and the financing partner. SPAC Interior has no role in the approval process, interest rates, pricing, or any other terms related to EMI financing.

Fees
SPAC Interior does not charge any processing or convenience fees. Please check with your issuing bank for any additional charges that may apply.

Cancellation
Refunds under EMI:
In case of a refund for a project booked with the EMI option, SPAC Interior will process the refund to the original source of payment. Please check with your bank or financing partner for any EMI-related implications.

Transactional data sharing
Data Sharing for EMI:
SPAC Interior may share your transaction and order details with the eligible bank or financing partner to enable EMI offers. By choosing the EMI option, you consent to this data sharing as it is necessary for processing the financing.

Liability disclaimer
Liability Disclaimer for EMI:
SPAC Interior is not liable if your bank or financing partner rejects EMI or No-Cost EMI transactions due to inaccurate or incomplete information. For clarifications, please contact your bank or financing partner directly to ensure all details are accurate and updated.

Complaints and disputes
EMI Complaints & Modifications:
For any complaints, disputes, or inquiries regarding EMI transactions, please contact your bank or financing partner. SPAC Interior is not liable for the availability, non-availability, or any issues related to EMI.

SPAC Interior reserves the right to modify, amend, or discontinue the EMI option and its terms without prior notice. Changes will not affect orders already processed under the existing terms.
Cancellations
Cancellations
At SPAC Interior, we strive to provide the best experience for every customer. Cancellations are generally not permitted once a project is booked. Any exceptions will be considered solely at SPAC Interior’s discretion.
Referral policy
Program duration and modifications
SPAC Interior’s referral program is available for a limited time. SPAC Interior reserves the right to withdraw, suspend, or modify the program, including its terms and incentives, at any time without prior notice.

Eligibility criteria
- Must be a past or current SPAC Interior customer who has completed their project or made full payment for an ongoing project.

- Must be a new customer, not previously in contact with SPAC Interior, who confirms a final order for a modular project exceeding ₹2,00,000 (inclusive of taxes and discounts) and makes full payment.

- Referrer and Referee must own or reside at different properties. Proof of address may be requested.

- Repeat orders for the same property are not eligible.

- If these conditions are not met, the referral will be invalid and no reward will be issued.

Referral earnings structure
Referral Bonus :-

- The Referrer earns a bonus once the Referee confirms and completes payment for their SPAC Interior project.

Bonus structure :-

- First successful referral: 3% of the referred project’s value.

- Second successful referral: 4% of the referred project’s value.

- Subsequent referrals: 5% of the referred project’s value.

- Project value is calculated as the total amount paid by the Referee for their first project, excluding taxes.

- Each Referrer earns a bonus only once per unique Referee.

- SPAC Interior reserves the right to modify these terms at its discretion without prior notice.

- In case of disputes or ambiguity, SPAC Interior’s decision shall be final and binding.

Terms for the payout
Referral Bonus Payout:

- The referral bonus is processed once both the Referrer and Referee have confirmed their final orders and completed full payment.

- The Referrer must provide:

- Bank account and PAN details for payout.

- Proof that Referrer and Referee reside at different properties.

- Once the required information is received, the bonus will be transferred within 30 business days.

Invalidated referrals
Referral Invalidation :-

Referrals will be invalidated if any of the following occur:

- The Referee was already in contact with SPAC Interior before the referral.

- The Referee’s modular project value (after discounts and including taxes) is below ₹2,00,000.

- The Referrer and Referee reside at the same property.

- Any fraudulent, illegal, or abusive activity is suspected or detected.

- Repeat orders for the same property.

SPAC Interior reserves the right to invalidate referrals in case of any discrepancies regarding the referred project’s status.

Fraudulent practices
Any fraudulent practices detected during the referral bonus process will result in disqualification from the program. SPAC Interior reserves the right to take legal action to recover any referral bonus already paid, if deemed necessary.

Employee eligibility
SPAC Interior employees are not eligible to participate in the referral program.

Multiple referrals
If multiple referrals are made for the same person, the referral credit will be assigned to the first recorded referral based on the timestamp. SPAC Interior reserves the right to make the final decision on referral credit allocation.

Privacy and data use
Any personal data collected for the Referral Program will be processed in accordance with SPAC Interior’s Privacy Policy.

Miscellaneous
General Terms :-

- SPAC Interior is not obliged to run similar referral programs in the future.

- If any provision of this policy is found invalid or unenforceable, it will not affect the validity of the remaining provisions.

- Queries or concerns must be raised during the program period with SPAC Interior’s customer support team.

- Participation in the Referral Program constitutes acceptance of all terms outlined herein.

- Any disputes arising from or related to this program shall be governed by the laws of India, with courts in Bangalore having exclusive jurisdiction.

Customer terms & conditions
Scope of work
1.1. Platform & Consultation Fees (PCF) :

SPAC Interior provides consultation services for your project, including design insights and recommendations based on site feasibility and budget, to help you place orders for SPAC Interior products and services.

1.2. Booking Confirmation :

After the preliminary design consultation, SPAC Interior will share a tentative fee proposal via email (the “Initial BOQ”), valid for 30 days. This estimate may vary up to 10% in the final order quantities. 1.3. Modifications to Scope :

You may modify the preliminary scope of work or Initial BOQ. Any additions or modifications are subject to these terms. You may also delete items, provided the total reduction does not exceed 10% of the Initial BOQ value.

1.4. Site Validation, Manufacturing & Supply :

Once you approve the Initial BOQ, SPAC Interior will conduct site validation, prepare an execution plan with a detailed Scope of Work, and provide the final Project Value, inclusive of PCF.

1.5. Project Execution :

SPAC Interior will execute the interior solutions according to the approved design plan at the property designated by you, based on the agreed Project Value.

1.6. Multiple Orders & Payments :

Multiple orders can be placed for a single project (e.g., one order for modular products, another for civil work). Payments are processed for each order individually.

Payment terms
2.1. Fees & Charges :

You agree to pay all applicable fees for the Scope of Work and ongoing Platform & Consultation services as communicated by SPAC Interior.

2.2. Non-Refundable Payments :

All amounts paid or payable, including Project Value or other charges, are non-refundable. This reflects the professional services and advanced technology SPAC Interior provides for comprehensive project execution.

2.3. PCF on Modifications :

Platform & Consultation Fees (PCF) apply to any modifications to the Initial BOQ. A minimum PCF will be charged on 90% of the Initial BOQ value.

2.4. Scope Modifications & Project Value :

Any changes to the Scope of Work requested by you may increase the Project Value and may also lead to a revision of the project handover date.

2.5. Payment Method :

All payments must be made exclusively through SPAC Interior’s official payment link. Before payment, ensure the payee is SPAC Interior Technologies Pvt Ltd.

2.6. Taxes :

Supply of goods or services is subject to applicable taxes, including GST or similar levies, which must be paid by you.

Obligations of The parties
3.1. Customer Obligations :

- You confirm valid possession of the property and will provide free access throughout the Project execution.

- You must provide accurate information regarding the property, including any defects, for SPAC Interior to provide services effectively.

- SPAC Interior will procure goods on your behalf only after your approval and/or timely payment.

- You shall allow SPAC Interior and its representatives to photograph the property before, during, and after the Project.

- You must not directly engage any subcontractor, vendor, SPAC Interior partner, or employee to provide products or services independently. All payments must be made through SPAC Interior’s official channels. Unauthorized transactions will be void, and you assume full responsibility for any consequences.

- All 3D renders are illustrative and for reference only. Only items listed in the approved BOQ are part of the final Project.

- All products are customized and made-to-order as per your specifications. All payments are non-refundable.

- Your account registration must include accurate and complete information (name, PAN, email, contact, GST if applicable). SPAC Interior is not liable for incorrect or misleading data.

3.2. SPAC Interior Obligations:

- Designers will assist in conceptualizing designs and preparing visualizations.

- During Project execution, the site supervisor/Project Manager will provide necessary assistance and information.

- SPAC Interior will provide product warranties.


Project delivery timeLines
4.1. Project Phases & Timeline :

The Project will be divided into phases with timelines specified by the Project Manager. The final Scope of Work, delivery dates, and payment schedule for each phase will be communicated by the designer/Project Manager, along with the estimated Handover date.

4.2. Delays by Customer :

Any delay in providing timely approvals, access to the site, or payments may result in extensions to the Project timeline and Handover date.

4.3. Payment Upon Dispatch :

SPAC Interior will notify you when products or service milestones are ready to be shipped. Balance payments must be made within 7 days of such notification. Delays in payment will impact Handover timelines.

4.4. Warehousing Charges & Risk :

If Handover is not taken within 30 days of notification or products are not dispatched due to delayed payments, you will incur warehousing charges of 0.25% of the Project Value per week. Any risk of loss, theft, or damage to stored products will be borne solely by you.

4.5. Definition of Handover :

“Handover” refers to the completion and functionality of areas covered under the Scope of Work (e.g., kitchen, bedroom). Minor snags (e.g., replacement parts, delayed units, minor finishing issues) do not prevent the site from being considered ready to move in, provided functionality is not impacted.

Project delays & penalty terms
5.1. Delay Penalty:

In case of Handover delays (excluding snag rectification), you are entitled to a delay penalty of 0.25% of the Project Value per week, up to a maximum of 3% of the Project Value. The applicable grace periods are:

- For Handover within 60 days: 7 working days from the committed Handover Date.

- For Handover between 60 and 120 days: 15 working days from the committed Handover Date.

- For Handover beyond 120 days: 30 working days from the committed Handover Date.

5.2. Exceptions – No Delay Penalty:

SPAC Interior is not liable for delay penalties in the following cases:

- Any delay caused by you, including late approvals, restricted site access, or delayed milestone payments.

- Changes or alterations in the finalized Scope of Work.

- Force majeure events (as per Clause 10).

- Acts of discrimination or abuse towards SPAC Interior staff, contractors, or vendors.

- Any other delay solely attributable to you.

Warranty
6.1. Coverage :

All products delivered under these Terms shall be free from manufacturing defects in materials and workmanship and covered under SPAC Interior warranty as provided by your Project Manager. SPAC Interior is not responsible for warranties beyond what is specified in the Project invoices.

6.2. Warranty Activation :

The warranty is valid only after full payment of the Project Value and submission of the signed handover document. Withholding any part of the Project Value will void the warranty.

6.3. Claim Process :

Warranty claims must be registered via email to care@spacinterior.com, including product/service details, observed defects, and relevant photographs.

6.4. Natural Issues :

SPAC Interior may notify you of certain natural issues that can arise in home interiors. SPAC Interior disclaims liability for such expected issues.

6.5. Warranty Disclaimer :

Except as expressly provided, services and products are delivered “as is” and “as available.” SPAC Interior disclaims all other express or implied warranties, including merchantability or fitness for a particular purpose.

Intellectual property
7.1. Ownership:

All intellectual property rights, including trademarks, logos, trade names, designs, 2D/3D drawings, renders, and copyrights, are the sole property of SPAC Interior and considered confidential. These Terms do not grant you any license or right to use SPAC Interior’s intellectual property without prior written consent.

7.2. Infringement:

Any unauthorized use of SPAC Interior’s intellectual property by you or any third party through you may result in legal action, including injunctive relief, and immediate termination of these Terms. SPAC Interior will not be liable to refund any amounts already received in such cases.

Limitation of liability
8.1. Maximum Liability:

The maximum liability of SPAC Interior for any claim shall be limited to the amounts actually paid by you for the specific product or service that gives rise to the claim.

8.2. Exclusion of Certain Damages:

SPAC Interior shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of revenue, profits, goodwill, use, or accommodation, arising from these Terms or the services provided.

Expiration
9.1. Expiration :

These Terms automatically expire upon Project Handover.

9.2. Early Termination by SPAC Interior :

SPAC Interior may terminate these Terms with 15 days’ notice if you :

- Commit any Event of Default as per Clause 5.2.

- Engage in discrimination or abuse (verbal or physical) against any SPAC Interior staff, contractor, or vendor.

No liability will be borne by SPAC Interior in such cases.

9.3. No Refund on Termination :

If terminated under Clause 9.2, no amounts will be refunded. This represents a reasonable estimate of losses SPAC Interior may incur due to defaults, payment delays, or procurement of customized products/services.

9.4. Survival :

Clauses intended to survive expiration, including Payment Terms (Clause 2), Intellectual Property (Clause 7), Limitation of Liability (Clause 8), Expiration (Clause 9), Force Majeure (Clause 10), Governing Law (Clause 11), Non-Disparagement (Clause 12), and Miscellaneous (Clause 13), shall remain in effect.

Force majeure
10.1. Limitation of Liability :

SPAC Interior shall not be liable for any failure, delay, or default in performing the Scope of Work due to unforeseen circumstances or events beyond its control, including but not limited to government restrictions, bandhs, lockdowns, natural disasters, war, fire, flood, typhoon, earthquake, strikes, pandemics, riots, or other force majeure events. Performance may be deferred for the duration of such events.

10.2. Renegotiation :

If force majeure conditions persist for more than 15 days, you agree to renegotiate the Scope of Work with SPAC Interior in good faith.

Governing law & jurisdiction
11.1. These Terms shall be governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.

Non-disparagement
12.1. You agree not to make any disparaging or defamatory comments about SPAC Interior, its business, personnel, or any aspect of your relationship with SPAC Interior. This includes negative remarks, statements, or communications—whether oral, written, or electronic—that could harm the reputation or goodwill of SPAC Interior.

Miscellaneous
13.1. Entire Agreement:

These Terms, together with our Policies and Scope of Work (including amendments), constitute the entire agreement between you and SPAC Interior and supersede all prior agreements, understandings, or statements, written or oral.

13.2. Variation of Terms:

SPAC Interior may revise these Terms due to legal changes, court decisions, technical necessities, market conditions, internal policy updates, or changes in applicable laws. Continued use of SPAC Interior services after such changes constitutes acceptance.

13.3. Marketing:

You consent to SPAC Interior photographing the property before, during, and after the Project. SPAC Interior may use these photos for business or marketing purposes, including online and social media, without disclosing your name unless prior consent is given.

13.4. Severability:

If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.5. Notices:

All notices or communications under these Terms shall be in writing and sent electronically.

13.6. Policies:

SPAC Interior Policies, including customer dos and don’ts, quality promise, cancellation, return/exchange/refund, and privacy policy, are part of these Terms. In case of conflict, these Terms prevail.

13.7. Interpretation:

No provision of these Terms shall be construed against SPAC Interior solely because it drafted the Terms.
